1. Acceptance
These terms govern the use of INVERSHA (the inversha.com site, the app.inversha.com application and its services), operated by INVERSHA S.A.P.I. de C.V., located at Lomas de Gran Jardín, León, Guanajuato, México (“INVERSHA”, “we”).
By creating an account or using the service you accept these terms and our privacy notice. If you do not agree, do not use INVERSHA.
Regulatory status. INVERSHA is in the process of obtaining the authorizations that apply to it. Meanwhile, the engine operates with small amounts and publishes its results as they are.
2. What INVERSHA is
INVERSHA is an application that lets you:
- Open one or more portfolios in digital dollars (USDC or USDT) on the Solana network.
- Deposit and withdraw those digital dollars.
- If you turn it on, put your free USDC to earn interest through Lulo.
- If you turn it on, let an investment engine buy and sell tokenized assets (stocks, gold, currencies, cryptocurrencies) with the share of your balance you assign to it.
INVERSHA is not a bank. Digital dollars are not legal tender in Mexico and balances are not protected by IPAB or by any deposit insurance.
3. Your account
- You must be over 18 and legally able to enter into contracts.
- You can sign in with Google or with your email and password; access is confirmed with a code we email you.
- The information you give us must be true and up to date. The account is personal and non-transferable.
- You are responsible for protecting your password, your email and your Google account. If you think someone got into your account, change your password immediately (that closes all open sessions) and write to us.
4. Your wallet and its custody
Each real portfolio has its own wallet on the Solana network. INVERSHA creates and safeguards that wallet: its private key is stored encrypted in our systems and is used only to sign the transactions you request or authorize (yield deposits, withdrawals and engine trades within your mandate).
The assets in your wallet are yours. INVERSHA does not use them for its own trades; they only move on your instruction or within the mandate you authorized.
5. Deposits and withdrawals
- We only receive USDC or USDT on the Solana network, depending on the portfolio’s currency. If you send over another network (for example TRC20 or ERC20) or another token, the funds may be lost and we may not be able to recover them.
- In a USDT portfolio, USDC you send does not count as that portfolio’s balance.
- Withdrawals are sent to the Solana address you specify. Blockchain transactions areirreversible: check the address carefully before confirming.
- To withdraw, whatever is invested or earning yield must first return to the available balance; that may require selling positions at the current price.
6. The engine and Autopilot
The engine reads news and market data, scores assets and proposes or executes buys and sells. It is anexperimental system that currently operates with small amounts.
The mandate
- By turning on Autopilot in a portfolio, you authorize the engine to buy, sell and put funds to earn yield without asking you to confirm each trade, using only the percentage of the balance you choose.
- You can change that percentage, pause or turn off Autopilot whenever you want. Turning it off does not sell what it already bought.
- The engine has automatic brakes (for example, it stops buying if your portfolio drops a certain percentage from its peak, and it may sell everything and shut down if the drop is larger). These brakes reduce risk, butthey do not guarantee that you will not lose money.
- Sales are executed at the price available in the market at that moment, which may differ from the expected one, especially when liquidity is low or the asset’s market is closed.
The explanations the engine gives you (“why it did it”) describe its reasoning; they are not a promise of results.
7. Yield on Lulo
- It is only available for USDC. USDT does not earn interest at INVERSHA.
- If you turn it on, your USDC is deposited in Lulo, a third-party service that lends it to lending protocols on Solana. Interest is paid by borrowers; the rate is variable and not guaranteed.
- There is no lock-up: you can withdraw whenever you want, subject to Lulo and the network working.
- You may lose part or all of what you deposited if Lulo or one of its protocols fails, if USDC loses its peg to the dollar or if the Solana network stops working.
8. Practice portfolios
Practice portfolios use play money with real prices, news and fees. They have no wallet, you cannot deposit into or withdraw from them, and their results do not guarantee what would happen with real money.
9. Fees
- Yield: INVERSHA keeps 0.75 percentage points of the rate Lulo pays, calculated on the interest earned (never on your deposit). In the app you always see the rate after that fee.
- Network: transactions on Solana pay a tiny fee in SOL. We front it and, if needed, a small part of your balance is converted to SOL, which stays in your wallet.
- Engine trades: each buy or sell pays the costs of the market where it is executed (protocol fees and price difference).
- Performance fee: when each month closes (Mexico City time), INVERSHA charges10% of the net realized gain of each portfolio: what the positions closed that month left, winners minus losers and after trading costs, whether the engine or you closed them. An open position pays nothing until it is closed. A losing month pays nothing, and that loss carries forward: you only pay again on gains above your best cumulative result already charged (high-water mark), so you never pay twice for the same gain or for recovering a loss. Lulo yield is not included (it has its own fee). It is charged from your free cash and, if that is not enough, from what you hold in yield; a position is never sold to pay it, and whatever is not covered stays pending for the next month. The app shows what accrued and what was charged each month, and practice portfolios apply it on paper.
If we add or change a fee, we will notify you before it applies.
10. Risks
By using INVERSHA you accept that:
- You may lose part or all of the money you invest. Past results, real or practice, do not guarantee future results.
- Prices of tokenized assets and cryptocurrencies can move a lot in a short time.
- A tokenized token tracks the price of its asset, but it is not the asset: it depends on its issuer and on the liquidity available on Solana.
- USDC and USDT depend on their issuers and could lose their peg to the dollar.
- The Solana network, third-party protocols (Jupiter, Lulo and others) and our own systems may fail or stop.
- Laws on digital assets may change and affect the service.
11. Not advice
Nothing in INVERSHA is financial, investment, tax or legal advice. You decide whether to use the engine and how much to assign to it. You are responsible for your tax obligations arising from your trades.
12. Prohibited uses
You may not use INVERSHA to:
- Trade with funds of illicit origin, launder money or finance illicit activities.
- Use other people’s accounts or open accounts in the name of third parties.
- Try to access systems, accounts or data that are not yours, or disrupt the service.
- Copy, resell or exploit the service without our written permission.
13. Suspension and closure
We may suspend or close an account if there are signs of prohibited use, if an authority requires it or if it is necessary to protect users. Unless an authority prevents it, we will notify you and you will be able to withdraw your funds.
You can close your account whenever you want; you must withdraw your balance first.
14. Liability
We are liable for damages we cause through willful misconduct or negligence in safeguarding your wallet and running the service. We are not liable for losses arising from market movements, from the engine’s decisions within the mandate you authorized, from third-party failures (Solana network, Lulo, Jupiter, token and stablecoin issuers) or from your own errors, such as sending funds over the wrong network or to a wrong address.
15. Changes
We may update these terms. If the change is significant, we will notify you by email or in the app before it takes effect. If you keep using INVERSHA after that date, you accept the new version.
16. Governing law
These terms are governed by the laws of the United Mexican States. For any dispute, the parties submit to the courts of León, Guanajuato, México, without prejudice to the rights granted to you by the Federal Consumer Protection Law.
